Bizzy® Rewards Terms (“Terms”)

Get Bizzy, Inc., dba Bizzy Cold Brew and Bizzy, is proud to offer the Bizzy® Rewards Program (“Program”).

1. Privacy and Bizzy Rewards; Notice of Bona Fide Loyalty Disclosures for Colorado Residents; Notice of Financial Incentive for California Residents.

Your participation in the Program is subject to Bizzy’s Privacy Policy, which may be found at bizzycoldbrew.com/privacy. Bizzy’s Privacy Policy is made a part of these Terms and is incorporated herein by reference. In the event of any inconsistency between these Terms and Bizzy’s Privacy Policy, Bizzy’s Privacy Policy will control.

Notice of Third Parties Who May Receive Your Personal Information:

Bizzy does not sell consumers’ personal information for money. Bizzy does, however, share consumers’ personal information with certain third parties in ways that might be considered a “sale” of personal information under certain state laws and regulations, even though Bizzy does not receive any fee from such third parties in exchange for such sharing. We do not share your information with third parties who knowingly collect and sell the personal information of consumers to other third parties.

When we share information in this way, it is for marketing and advertising purposes or analytics purposes. For example, we may allow third parties, who are not our contractors, service providers or affiliates, such as Meta®, and Google® and other advertising networks, to place technologies (such as cookies) on our websites that collect personal information for purposes of personalized advertising to users of our websites and other potential consumers.

We may also share your personal information with third parties to: facilitate our merger or acquisition activities; provide business, professional or technical support services on our behalf; facilitate internal audits, dispute resolution or investigations; detect and address actual or potential fraud; or to comply with various legal obligations or other rules to which we are subject.

The categories of personal information (including sensitive personal information) that we share with these third parties for the purpose of personalized or targeted advertising are: identifiers, contact information, profile information, internet activity, demographic information, physical characteristics (such as your clothing size), and location.

By joining the Bizzy Rewards Program you agree that we may share your information in this manner.

Notice of Bona Fide Loyalty Program Disclosures for Colorado residents: In addition to the other information described in this Paragraph 1 regarding the sharing of personal information, we provide the following information to Colorado residents in accordance with applicable law:

  • Bona Fide Loyalty Program Partners and Bona Fide Loyalty Program Benefits provided by each: N/A
  • If you exercise your right to request deletion of personal information that we have collected from you, we will no longer be able to verify your identity, making it impossible for Bizzy to ensure that we provide benefits to the correct individual. Therefore, if you exercise your right to deletion of personal information, then your request will result in a cancellation of your membership in the Bizzy Rewards Program.

Notice of Financial Incentive for California residents: In addition to the other information described in this Paragraph 1 regarding the material terms of the Program, methods of opt-in and opt-out, we provide the following information to California residents:

  • The categories of personal information collected to participate in the Program are: first name, last name, email address and purchase history. Voluntary data includes date of birth, phone number, social media handle, and interests.
  • We administer the program in accordance with the California Consumer Privacy Act (“CCPA”). Our good-faith estimate of the value of your personal information is the value of the benefit we offer to you. We have calculated such value by using the expense related to the benefit. The value of the Program to the typical consumer is reasonably related to, and greater than, the value of the consumer’s data.

2. Membership

In the Program, Members earn Points for buying Bizzy products on-line at www.bizzycoldbrew.com (the “Website”), at the Bizzy Store on Amazon.com, at grocery stores and club stores, at grocery store and club store approved e-commerce sites, or any other stores where Bizzy packaged goods are sold (collectively, “Retail Stores”), as well as for taking part in certain other activities.

There is no membership or other fee to join the Program.

3. Who Can Join?

The Program is available to legal residents of the United States who are 18 years (or age of majority in their state of residence, whichever is greater) or older. Before joining and/or participating in the Program, you are strongly advised to carefully review these Terms. By joining the Rewards program, you agree to the Bizzy Rewards Terms and Conditions and Bizzy Privacy Policy.

4. How To Join

You may register for the Bizzy Rewards Program at bizzycoldbrew.com/rewards.

At the Website:

  1. Create an account* with your first and last name, e-mail address, and a password. (If you like, you may provide your date of birth, but this is not required.)
  2. By completing the account creation process, you agree to these Terms as well as our Privacy Policy and our Website Terms

Your online Bizzy Rewards account will show your Activity History, Bizzy Rewards Points earned, and available Rewards (see below). It is your sole responsibility to assure that your account information is current and otherwise accurate, updating such information, as necessary. It is also your sole responsibility to immediately inform us of any suspected unauthorized activity in your account. Follow the prompts on the Website or call (612) 324-1065.

* Any dispute as to who owns an account will be resolved by based on Bizzy’s determination of the authorized account holder of the e-mail address used in registering the account.

Beginning May 15, 2024, if you complete a product purchase at the Website or any Retail Store and are not a Member of the Bizzy Rewards Program, you will receive Bizzy Rewards Points for that purchase by joining the Bizzy Rewards Program.

5. Earning Bizzy Rewards Points Via Purchase

Beginning on May 15, 2024, at 9 a.m. Eastern Time, for each dollar spent on Bizzy consumable beverage purchases through the Website or at Retail Stores, you will receive Bizzy Rewards points. While the total number of points received is dependent on your purchase, you will receive:

  • 10 points for every $1 spent on Ground Coffee, Cold Brew Coffee Bags and consumable products purchased through Amazon.com, with the upload of your receipt for such purchase.
  • 10 points for every $1 spent on Bizzy Ready-to-Drink 48 oz. Bottles of Cold Brew consumable products from Retail Stores with the upload of your receipt for such purchase.

Bizzy Cold Brew may update the Activities in which Rewards points can be earned as well as the max points earned per year and points values for such activities at any time and from time to time, all without notice to you. Any such updates will be posted here, and you are encouraged to check these Terms frequently.

Purchasing gift cards will NOT result in the receipt of Bizzy Rewards Points.

Please allow up to 10 business days for Bizzy Rewards Points to appear in your online Bizzy Rewards account.

If you complete a purchase online without signing into your Bizzy Rewards account, then you will only receive Rewards points if the email you used to make your purchase matches your Bizzy Rewards email address.

In calculating Bizzy Rewards Points earned, only the purchase price of the products purchased will be used. Taxes, shipping charges and other fees will not be counted.

If any products are later returned for a refund (full or partial), any Bizzy Rewards Points previously earned will be forfeited and the Member’s online Bizzy Rewards account will be adjusted accordingly. Please allow up to 14 business days for any such adjustment to be reflected in your online Bizzy Rewards account.

If any products are later exchanged for another Bizzy product, any Bizzy Rewards Points previously earned will be adjusted to reflect the Bizzy Rewards Points that would have been earned if the product received via exchange was originally purchased and the Rewards member’s account adjusted accordingly. Please allow up to 14 business days for any such adjustment to be reflected in your online Bizzy Rewards account.

6. Earning Points Via Activity

Certain activities other than product purchases will result in earning Bizzy Rewards Program points. Activities may include, but are not limited to:

Bizzy Cold Brew may update the Activities in which Rewards points can be earned as well as the points values for such activities at any time and from time to time, all without notice to you. Any such updates will be posted here, and you are encouraged to check these Terms frequently.

Restrictions are provided for illustrative purposes only. Bizzy reserves the right to condition any award of Bizzy Rewards Points to any Rewards member engaging in any Activities as being further subject to additional terms and conditions (to be provided in any advertisement or other announcement regarding such Activities).

A maximum of 2,000 Bizzy Rewards Points may be earned by a particular Rewards member per year.

Rewards points earned via activities other than product purchases are valid for one year from the date of issuance. [Rewards points earned via product purchases expire one year from the date of issuance.]

7. Rewards

Rewards are redeemable for the purchase of Rewards items listed under the Bizzy Rewards program on bizzycoldbrew.com/rewards-ms.

Rewards are NOT gift cards.

Please allow 10-14 business days for Rewards order processing and shipping.

Restrictions on Rewards:

To use Rewards Points online at www.bizzycoldbrew.com/rewards, Rewards members must be signed into their Bizzy Rewards account. Bizzy Rewards Points will NOT be rounded up by Bizzy Cold Brew when converting to Rewards.

If Bizzy Rewards Points are not redeemed for Rewards within one year of date on which such points were issues, such Bizzy Rewards Points will expire WITHOUT ANY WARNING OR NOTICE FROM Bizzy Cold Brew, except as indicated below.

Bizzy may notify a Rewards member of the issuance of Rewards by email, postal mail or otherwise. The value of Rewards included in any such notification represents the value of such Rewards at the time that Bizzy emailed, printed and/or published such notification, which may or may not reflect the actual, current value of such Rewards available to such Rewards member, as Bizzy may have adjusted such Rewards member’s balance of Bizzy Rewards Points subsequent to the printing/publication of any such notification. Any such notification regarding the issuance of Rewards is provided by Bizzy purely as a courtesy to Rewards members and should not be relied upon by any Rewards member in seeking to redeem Rewards Points for Rewards. Before taking any such action, each Rewards member is advised to carefully review their Bizzy Rewards Program account so as to determine the actual, current value of Rewards available to such member.

Rewards members do not need to spend all of their Rewards Points in a single transaction. Any unused Rewards Points may be used in a later transaction for Rewards, unless such Rewards Points have expired.

Rewards Points expire one year from the date of issuance WITHOUT ANY NOTICE OR WARNING FROM Bizzy, except as indicated below.

Additional terms and conditions apply to use of Rewards Points (as indicated in any e-mail notice relating to such Rewards Points). Without limitation, Rewards Points:

  • cannot be redeemed for cash or credit;
  • is not transferable;
  • cannot be combined with any other offer, discount, coupon or promotion (except other Rewards transactions);
  • cannot be redeemed at third party retailers of Bizzy Cold Brew products;
  • is good only for the Rewards member who received the Rewards Points from Bizzy (and redemption of same may be conditioned upon such Rewards member providing valid identification to Bizzy’s satisfaction);
  • if products obtained via redemption of Rewards Points is later returned by a Rewards member, the corresponding Bizzy Rewards Points redeemed for such returned Rewards (as well as the value of the Rewards itself) will NOT be returned to such Rewards member; and
  • will be replaced if lost or stolen only upon the applicable Rewards member providing valid identification to Bizzy’s satisfaction.

8. Other Program Benefits

In addition to Rewards, Members receive the following exclusive benefits (“Benefits”):

  • Savings on certain designated qualifying Bizzy products as well as other discounts, offers and promotions;
  • Rewards member promotions, including extra / additional Rewards Points incentives as per Bizzy Rewards communications;
  • Access to limited edition products;
  • Early access to Bizzy limited edition collections and collaborations;

The preceding will be offered by Bizzy from time to time, in its sole discretion. Restrictions apply to each Benefit. Bizzy will disclose such restrictions in conjunction with offering the corresponding benefit.

9. Bizzy’s Right To Modify

Bizzy reserves the right to change the Program (and these Terms, as applicable) at any time in its sole discretion. Such changes may include, by way of example only, the following:

  • The number of Bizzy Rewards Points earned for making a product purchase.
  • Limiting the availability of earning Bizzy Rewards Points to the purchase of specific products;
  • Adding or restricting the type of non-purchase activities that will result in earning Bizzy Rewards Points;
  • Modifying the conditions on existing non-purchase activities which will result in earning Bizzy Rewards Points;
  • Adjusting (upwards or downwards) the number of Bizzy Rewards Points that will result in the issuance of a Rewards;
  • Modifying Rewards, including the conditions on redeeming same;
  • Modifying Benefits that are available; and
  • Modifying the procedure for becoming a Bizzy Rewards member.

In addition to the foregoing, Bizzy reserves the right to cancel the Program altogether. Upon any such cancellation, all unredeemed Rewards Points will be automatically cancelled and deemed to have expired as of the date on which the Program was cancelled.

Bizzy will try to provide reasonable notice via the Website (and/or via e-mail notification to each Rewards member, in Bizzy’s sole discretion) in advance of such changes (or Program cancellation, as the case may be) taking effect. Such notice will explain the change (or Program cancellation, as the case may be) and when it takes effect. To the extent that such change affects these Terms (as well as Program cancellation), these Terms will be modified accordingly with the change and its effective date being highlighted herein. However, due to an event beyond the reasonable control of Bizzy (that is, a force majeure event, such as a riot, civil commotion, governmental action, natural disaster, pandemic/epidemic, materials shortage, act of fraud), Bizzy reserves the right to have such changes take effect immediately, without liability of any kind under any legal theory.

Your continued Membership in the Program constitutes your agreement to such changes to the Program (or the cancellation of the Program, as the case may be). You are strongly advised to review these Terms from time to time to make sure that you are fully aware of the current conditions governing operation of the Program.

10. E-Mail Notifications

In joining the Program, you agree to receive e-mail messages from Bizzy from time to time relating to your participation in the Program; for example, notices of Program modifications. You will receive e-mails relating to your participation in the Program from Bizzy unless you decide to cancel your membership in the Program. (In the U.S., such messages are commonly referred as “transactional e-mails.”)

Bizzy may also send you promotional e-mails with updates, offers and other information regarding Bizzy or its products (but NOT the Program). You may unsubscribe from receipt of promotional e-mails without affecting your participation in the Program.

11. Prohibited Conduct

Any conduct determined by Bizzy, in its sole discretion, to be in violation of these Terms may result in Bizzy withholding Rewards Points, Rewards and/or other Benefits available under this Program.

If such conduct is repeated, blatant or egregious (again as determined by Bizzy in its sole discretion), such individual’s membership in the Program may be terminated (with all Rewards Points, unused and/or unissued Rewards and Benefits being forfeited without liability to Bizzy ). By way of example only, the following actions constitute violative conduct:

  • Any false or misleading statement/misrepresentation as to making a product purchase or engaging in any point-earning activity;
  • Any false statement or misrepresentation in conjunction with the attempted redemption of Rewards (including proof of Bizzy Rewards Program membership provided at time of attempted redemption);
  • Any other act of fraud perpetrated on Bizzy as to Program participation;
  • The attempted acquisition or redemption of Rewards Points other than as set forth in these Terms (including the attempted transfer of Rewards Points).

Withholding of Rewards Points, Rewards and/or Benefits and termination of an individual’s membership in the Program shall not represent the exclusive remedies available to Bizzy ; and, as such, Bizzy may seek civil and/or criminal prosecution of individuals believed to be engaged in such violative conduct.

Bizzy expressly disclaims any responsibility to notify or warn a Rewards member that such member has engaged in violative conduct prior to pursuing any of the above remedies.

12. Cancellation

To cancel your membership in the Program, email Bizzy Rewards Customer Service at rewards@bizzycoldbrew.com.

Cancellation of your membership will result in the forfeiture of Rewards Points,unused and/or unissued Rewards and Benefits without liability of any kind to Bizzy under any legal theory.

13. General

Points

Award of Bizzy Rewards Points is subject to Bizzy’s determination in its sole discretion that the Rewards member has made the corresponding product purchase or engaged in the corresponding Activity in accordance with all applicable restrictions. Should Bizzy determine in its sole discretion that such Rewards member has not done so, Bizzy may reduce the number of Bizzy Rewards Points (or withhold Bizzy Rewards Points altogether) from such member.

Bizzy Rewards Points are intended solely to track a Rewards member’s participation in the Program. Members do not have any property or ownership rights in Bizzy Rewards Points.

Bizzy Rewards Points cannot be redeemed for cash and cannot be transferred to another Rewards member. Any attempt to sell (by auction or otherwise), trade or exchange Bizzy Rewards Points is void and in no way binding upon Bizzy, and further, any such attempt constitutes prohibited conduct and is a violation of these Terms.

Bizzy reserves the right to review Program activity (including Bizzy Rewards Points earned) in your online Bizzy Rewards account and make adjustments to correct errors without prior notice to you or liability of any kind. You will be notified if Bizzy has taken any such action. Such notice will briefly explain the change(s) made to your online Bizzy Rewards account.

Certain Persons Not Eligible For Program

Employees, officers, and directors or the following are NOT eligible for the Program:

  • Unauthorized resellers of Bizzy Cold Brew products.

In addition:

Persons whose membership in Bizzy Cold Brew Ambassador legacy programs was terminated by Bizzy Cold Brew for any reason are NOT eligible.

Only product purchases and Activities undertaken on or after May 15, 2024, will count for participation in the Bizzy Rewards Program.

Release of Rights

To the fullest extent permitted by law, in becoming a Rewards member and/or participating in the Program, you release and agree to hold harmless Bizzy; its affiliates and divisions; and the directors, officers, agents, representatives, shareholders, employees, successors and assigns of any of the above organizations from any and all claims, damages, losses, liabilities, and other expenses (including attorneys’ fees) arising from or in any way related to participation in the Program under any legal theory.

No Representation or Warranty by Bizzy

Bizzy makes no representation, guarantee, or warranty of any kind regarding the Program, including the warranty or merchantability or the warranty of fitness for the intended purpose. The preceding excludes those warranties to which Bizzy is subject pursuant to applicable law.

Miscellaneous

The Program is void where prohibited by law.

The failure of Bizzy to enforce any condition of these Terms in any circumstance shall not constitute the waiver of such condition. Bizzy shall not be bound by any interpretation of any similar condition of legacy programs (including the Bizzy Ambassador Program) in the application of these Terms.

Dispute Resolution/Choice of Law

To the fullest extent permitted by law, in becoming a Rewards member and participating in the Program, you agree that:

  • any and all disputes regarding the Program or these Terms shall be governed by, and construed in accordance with, the laws of the State of Delaware, without reference to conflicts of laws principles.
  • you agree that federal and state courts in Delaware will have exclusive jurisdiction and venue;
  • you waive any right of change of venue;
  • any action by you regarding the Program or these Terms will be brought by you individually and not as part of a class action (BY AGREEING TO THESE TERMS, YOU ARE GIVING UP YOUR RIGHT TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER ON ANY CLASS CLAIM YOU MAY HAVE AGAINST US INCLUDING ANY RIGHT TO CLASS DISPUTES OR ANY CONSOLIDATION OF INDIVIDUAL DISPUTES);

your recovery in any such action will be limited to your actual costs in participating in the Program (if any), with all rights to attorneys’ fees and any and all damages (including special, compensatory, punitive, consequential damages) as well as equitable relief being expressly waived.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF CLASS ACTIONS OR LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

If the preceding or any other provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, it shall be replaced by a substitute provision that most closely approximates the original intent of Bizzy Cold Brew and is valid, legal and enforceable. Such determination of the invalidity/illegality/unenforceability of a given provision shall not affect the remainder of these Terms.

Language

The parties acknowledge that they have requested that this document and all other documents relating to it, be drawn up in the English language.
